These Terms of Service ("Terms," "Agreement") constitute a legally binding agreement between you ("Customer," "you," or "your") and DOKit, LLC ("DOKit," "we," "our," or "us") governing your access to and use of the DOKit document processing platform, website, and related services (collectively, the "Service").
PLEASE READ THESE TERMS CAREFULLY BEFORE USING THE SERVICE. By accessing or using the Service, clicking "I Accept," or by otherwise manifesting your assent to these Terms, you agree to be bound by these Terms. If you do not agree to these Terms, do not use the Service.
"Authorized Users" means individuals authorized by Customer to use the Service under Customer's account.
"Customer Data" means all data, documents, and content that Customer uploads to the Service for processing.
"Output" means the structured data and processed content generated by the Service from Customer Data.
"Subscription Term" means the period during which Customer has paid for access to the Service.
To use the Service, you must create an account with accurate information. You are responsible for maintaining the confidentiality of your credentials and for all activities under your account. Enable multi-factor authentication when available and notify us immediately of any unauthorized access.
Subject to compliance with these Terms and payment of fees, DOKit grants you a limited, non-exclusive, non-transferable license to access and use the Service during the Subscription Term for your internal business purposes.
You may not:
Ownership: You retain all rights in your Customer Data. DOKit does not claim ownership.
License: You grant DOKit a limited license to process Customer Data solely to provide the Service.
No Training: DOKit does not use Customer Data to train AI models for other customers.
Output: Output generated from your Customer Data belongs to you. You are responsible for reviewing and verifying Output.
You agree to pay all fees specified in your Order. Fees are billed in advance monthly or annually. All fees are non-refundable except as required by law. Late payments may result in suspension of service.
You may terminate at any time; termination takes effect at the end of your billing period. DOKit may terminate for breach immediately or for convenience with 30 days' notice. Upon termination, your access ceases and data is deleted within 30 days.
The Service, including all software, algorithms, and materials (excluding Customer Data), is the exclusive property of DOKit. "DOKit" and our logos are trademarks of DOKit, LLC.
Each party agrees to protect the other's confidential information using reasonable care and not disclose it to third parties except as permitted under these Terms.
DOKit warrants that the Service will perform materially in accordance with the Documentation.
EXCEPT AS EXPRESSLY SET FORTH ABOVE, THE SERVICE IS PROVIDED "AS IS" WITHOUT WARRANTY OF ANY KIND. DOKIT DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, DOKIT'S TOTAL LIABILITY WILL NOT EXCEED THE FEES PAID IN THE 12 MONTHS PRECEDING THE CLAIM. NEITHER PARTY IS LIABLE FOR INDIRECT, INCIDENTAL, OR CONSEQUENTIAL DAMAGES.
You will indemnify DOKit against claims arising from your use of the Service or Customer Data. DOKit will indemnify you against claims that the Service infringes third-party intellectual property rights.
If you process protected health information (PHI), you must enter into a Business Associate Agreement (BAA) with DOKit before uploading PHI. Contact compliance@dokit.ai to request a BAA.
DOKit targets 99.9% uptime, excluding scheduled maintenance. Support is provided according to your plan level.
Governing Law: These Terms are governed by the laws of Ohio, USA.
Assignment: You may not assign these Terms without consent. DOKit may assign in connection with a merger or acquisition.
Amendments: We may modify these Terms with 30 days' notice for material changes.
Entire Agreement: These Terms, together with Orders and Privacy Policy, constitute the entire agreement.
